Hogan Lovells advises the shareholders of MVZ Labor Krone on the sale to Dardenne Eye Clinic
Under the lead of Hamburg-based partner Dr. Jan Philipp Feigen (PICTURED), Hogan Lovells has advised the shareholders of MVZ Labor Krone on the sale of all their shares to Dardenne Eye Clinic, a company belonging to the Limbach Group. Completion of the transaction remains subject to customary regulatory approvals.
Founded in 1947, Labor Krone has established itself as an accredited institution in laboratory medicine, serving as a trusted partner for a wide range of medical practices, hospitals, and university clinics both regionally and nationally. Its interdisciplinary team of medical specialists and more than 200 employees provides an extensive portfolio of diagnostic services, including laboratory medicine, microbiology, human genetics, environmental medicine, as well as forensic analysis and DNA expertise.
The Limbach Group, formed in 2011 through the merger of independent laboratories across Germany, is one of the largest owner-managed laboratory groups in the country specializing in laboratory diagnostics. The group currently operates 40 practices and one clinic.
Hogan Lovells provided comprehensive legal advice to the shareholders of MVZ Labor Krone throughout all aspects of the transaction. This included strategic guidance on the transaction process, structuring of the Share Purchase Agreement (SPA), re-investment considerations, and asset deals relating to the property portfolio.
