Hogan Lovells advises Helsing on restructuring into an SE holding company

Under the lead of Hamburg partner Dr. Alexander Koch and Senior Associate Joy Baur (both pictured), global law firm Hogan Lovells has advised Helsing, European artificial intelligence company operating in the defence technology sector, on the establishment of a new SE holding company.

Founded in 2021 and headquartered in Munich, Helsing develops AI-driven solutions for defence applications. By adopting the legal form of a European Company (Societas Europaea, SE), Helsing underscores its European focus and reaffirms its strong commitment to Europe as a business location. At the same time, the SE structure provides a solid framework for efficiently managing international operations and supports the company’s continued growth and expansion plans across Europe.

Hogan Lovells advised Helsing on corporate and regulatory matters relating to the restructuring. The firm regularly advises its long-standing client Helsing across a range of legal areas and projects, most recently on the acquisition of Grob Aircraft SE.

A team led by Dr. Matthias Schatz and Dr. Benjamin Ullrich of YPOG advised Helsing on corporate governance matters.

The team from Hogan Lovells was composed of:

  • Hamburg (Corporate M&A): Dr. Alexander Koch (Partner), Joy Baur (Senior Associate), Gesa Unland-Miramov (Senior Associate), Viktoria Voth (Associate)
  • Paris (Corporate M&A / Private Equity): Xavier Doumen (Partner), Pierre-Yves Marquet (Associate)
  • Düsseldorf (Employment): Dr. Tim Joppich (Partner)
  • Brussels / London (Regulatory): Dr. Falk Schöning (Partner, Brussels), Julius Jakob Gertz (Associate, Brussels), Christopher Peacock (Counsel, London), Eleanor Winn (Associate, London)
