Encavis’ in-house legal team in the acquisition of a large-scale PV portfolio from EDPR in Italy
Encavis, a German operator active in the European renewable energy market and backed by KKR, has acquired a portfolio comprising five large operational photovoltaic plants located in the Lazio and Puglia regions, Italy, with a total capacity of approximately 248 MW, from EDPR (EDP Renováveis), a company of the EDP Group active in the renewable energy sector and headquartered in Madrid.
Encavis was assisted by its in-house legal team led by Constantin Lentz (PICTURED).
The transaction marks the acquisition of the largest photovoltaic portfolio in Italy, positioning it among the leading portfolios in Europe. The project also includes the installation of an additional 17 MW in Lazio. The plants are supported by PPA contracts or incentive mechanisms, ensuring revenue stability.
Gianni & Origoni’s Energy and Infrastructure Italian department, headed by Ottaviano Sanseverino, advised EDPR with a team coordinated by partners Raffaele Tronci and Elisabetta Gardini, who handled energy/M&A matters and regulatory aspects respectively. Tronci was supported by associate Emiddio Mainente, while Gardini oversaw regulatory matters related to the transaction with support on due diligence matters from associates Andrea Terraneo, Leonardo Scuto, Franco Maria Zeppieri, and Teresa Soprano.
Watson Farley & Williams Italy advised Encavis with a team led by Eugenio Tranchino, Managing Partner of WFW Italy, alongside Partner Luca Sfrecola and Associate Sonia Basso. The team comprised Senior Associate Giovanni Benedetto and Associate Alice Zago, together with Trainee Ying Hong Wang, handling corporate matters, including negotiation and drafting of transaction documentation.
