DLA Piper with Prime Capital on acquisition of Germany’s largest BESS and solar PV project

DLA Piper has advised Prime Capital, an asset manager focused on alternative investments, on behalf of the Prime Green Energy Infrastructure Fund II S.A., SICAV-RAIF, on the acquisition of WBS Flugplatz, which includes a 500 MW / 2,000 MWh battery energy storage system (BESS) and up to 150 MWp solar PV on a former airfield, making it the largest planned BESS and solar PV project currently under development in Germany. Completion of the transaction is subject to the projects reaching construction readiness.

Lead Partner Sebastian Decker (PICTURED) commented: “We are and have always been enthusiastic about working with Prime Capital on their projects, but we are particularly proud to have been part of this groundbreaking transaction, which not only represents a crucial step in implementing Prime Capital’s strategy but also gave us the opportunity to contribute to Germany’s energy transition.”

A cross-border and multidisciplinary DLA Piper team from the firm’s offices in Germany, Luxembourg, and Poland was led by Corporate Partner Sebastian Decker. He was supported by Senior Associate Robert Fischer-Sonnberg (Corporate), Partners Dr. Manuel Indlekofer (Real Estate) and Michael Cieslarczyk (Energy), Senior Associate Dr. Lilian Gutkin (Real Estate), and Counsel Christopher Ollech (Energy) and Kais Torchani (Finance) as the core team.

About the project

The transaction encompasses Project Jupiter, which includes the BESS and solar PV project on a former military airfield in Brandenburg. With an expected investment of €500 million, construction is scheduled to begin in late 2026 or early 2027. Both the BESS facility and the solar PV project will share a single grid connection to the 380 kV high-voltage transmission line, ensuring efficient integration into the German energy system.

Additionally, the transaction parties will establish a strategic joint venture to develop an on-site hyperscale data center with a planned capacity of up to 500 MW. This initiative addresses the growing demand for data centers in Germany, particularly those located near renewable energy infrastructure, as such facilities are energy-intensive and benefit significantly from direct access to renewable energy and grid stability.
