Hengeler Mueller advises O&L on restructuring of commercial activities in Germany and Namibia
Hengeler Mueller, with a team lead by partner Daniela Favoccia (PICTURED) and composed of lawyers Laura Esmaty, Philipp Otto Neideck, Anja Balitzki, Sebastian Adam and Karl Hummel, advised Ohlthaver & List Finance and Trading Corporation (“O&L”) on the German law aspects of the separation and reorganisation of its commercial activities in Germany and Namibia.
O&L is the largest privately held business enterprise in Namibia and plays a significant role in the Namibian economy.
Pursuant to the transaction, O&L sold its stake in its German subsidiary O&L Nexentury (“OLNX”) to the previous minority shareholders, while simultaneously acquiring the shares that OLNX had held in various Namibian companies. O&L retained its 70% stake in the Philippsee Project – a floating solar park on Lake Philippsee near Langenbrücken, Baden-Württemberg.
